These Terms and Conditions ("Terms") govern the use of the FIRAFICAL (PTY) LTD ("FIRAFICAL," "we," "us," "our") website and the provision of our Web Design and Graphic Design services. By engaging FIRAFICAL for a project or using our website, you ("client," "you") agree to be bound by these Terms.

1. Our Services

FIRAFICAL provides:

  • Web Design — design and build of websites, including template-based builds, custom layouts, and related digital design work

  • Graphic Design — logo design, branding materials, and other visual design deliverables

The specific scope, deliverables, and timeline for each project will be confirmed in writing (via quote, proposal, or email) before work begins.

2. Quotes and Project Scope

  • All quotes are based on the information and brief provided by the client at the time of quoting.

  • Any changes to the agreed scope (additional pages, revisions beyond what's included, new deliverables) may incur additional charges, which will be communicated before proceeding.

  • Quotes are valid for [Insert validity period, e.g. 30 days] from the date issued, unless stated otherwise.

3. Payment Terms

  • A non-refundable deposit of 50% of the total project fee is required before work commences.

  • The remaining 50% balance is due upon project completion and before final files, source files, or full site access are released to the client.

  • Payments are currently processed via PayPal and Paystack. Additional payment gateways (such as PayFast) may be introduced in future. Additional payment arrangements may be agreed in writing on a case-by-case basis.

  • During the project, the client may be given partial or preview access to work-in-progress (e.g. a staging link or draft designs) for feedback purposes. This access does not constitute delivery of final deliverables.

  • Invoices are issued in South African Rand (ZAR) unless otherwise agreed.

  • Late payment of the final balance may result in a pause of work, delayed delivery, or withholding of final files until payment is received in full.

4. Deposits and Cancellations

  • The initial 50% deposit is non-refundable once work has commenced, as it secures your project slot and covers initial design time.

  • If the client cancels a project before work begins, the deposit may be refunded at FIRAFICAL's discretion, less any administrative costs already incurred.

  • If the client cancels after work has commenced, the deposit is forfeited, and the client will be invoiced for any additional work completed beyond the deposit value at the agreed rate.

  • FIRAFICAL reserves the right to terminate a project if the client becomes unresponsive for an extended period (e.g. 30 days) after a request for feedback or information. In such cases, the deposit is forfeited.

5. Revisions

  • Each project includes a set number of revision rounds as specified in the project quote.

  • Revisions beyond the agreed scope will be quoted separately and billed accordingly.

  • Requests for revisions should be submitted in writing (email) to keep a clear record of feedback.

6. Timelines

  • Estimated timelines are provided at the start of a project and depend on the client supplying requested content, feedback, and approvals promptly.

  • Delays caused by the client (e.g. late feedback, missing content) may extend the project timeline accordingly and are not the responsibility of FIRAFICAL

7. Client Responsibilities

The client agrees to:

  • Provide accurate briefs, content, and materials needed for the project

  • Respond to requests for feedback and approval in a timely manner

  • Ensure they have the legal right to use any images, text, logos, or brand assets they supply to FIRAFICAL

  • Make payments according to the agreed schedule

8. Intellectual Property

  • Prior to final payment, all design concepts, drafts, and preview work remain the intellectual property of FIRAFICAL.

  • Upon receipt of full and final payment, ownership of the final approved deliverables (e.g. final website files, final logo/brand files) transfers to the client, unless otherwise agreed in writing.

  • FIRAFICAL retains the right to display completed projects in its portfolio, website, and marketing materials, unless the client requests confidentiality in writing prior to project commencement.

  • Any third-party assets used in a project (e.g. stock images, fonts, plugins) remain subject to their own licensing terms, and it is the client's responsibility to maintain any ongoing licenses required post-delivery.

9. Website Hosting and Platforms

  • Where projects are built on third-party platforms (e.g. Framer), the client is responsible for their own subscription, hosting, and domain costs unless otherwise agreed.

10. Limitation of Liability

  • FIRAFICAL will perform services with reasonable skill and care but does not guarantee specific business outcomes (e.g. sales, traffic, rankings) resulting from design work.

  • FIRAFICAL is not liable for indirect, incidental, or consequential losses arising from the use of delivered work.

  • Our total liability for any claim relating to a project is limited to the total amount paid by the client for that project.

11. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of a project, except where disclosure is required by law.

12. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes will be subject to the jurisdiction of the South African courts.

13. Changes to These Terms

FIRAFICAL may update these Terms from time to time. The version in effect at the time a project is agreed upon will apply to that project.
